As of today, Gerard Kleisterlee and Rolf-Dieter Schwalb, members of the Supervisory Board, will not run for re-election when their current terms expire at the 2023 Annual General Meeting AGM, on April 26, 2023, according to ASML Holding N.V. ASML.
The Supervisory Board thanks Gerard and Rolf-Dieter for their valuable contributions, particularly as the Chairman of the Supervisory Board, the Chairman of the Selection & Nomination Committee, and the Chairman of the Audit Committee, respectively. Gerard and Rolf-Dieter have been on the Supervisory Board since 2015, and their contributions are acknowledged. The Supervisory Board is happy for Gerard and Rolf-Dieter’s future.
After the appointment
With the purpose of electing him as Chairman after his appointment, the Supervisory Board will propose Nils Andersen for appointment as a member of the Supervisory Board beginning with the 2023 AGM.
Danish national Nils Andersen, who will leave his position as chairman of Akzo Nobel N.V.’s supervisory board prior to ASML’s 2023 AGM, is currently the chair of Unilever Plc. Nils served as President and Chief Executive Officer of Carlsberg and Carlsberg Breweries from 2007 to 2016 before becoming Group Chief Executive of A.P. Miller, Maersk.
It gives us great pleasure to recommend Nils Andersen for the Supervisory Board. Nils has a long and successful worldwide career in executive and non-executive roles, and he brings a wealth of expertise to the table.
According to Annet Aris, vice chair of the supervisory board, We are convinced that Nils’s extensive knowledge and leadership experience would greatly assist the Supervisory Board.
In addition, the Supervisory Board plans to propose Jack de Kreij for election to the Supervisory Board as a member beginning with the 2023 Annual General Meeting, with the goal of electing him as Chairman of the Audit Committee after his appointment.
The Vice Chairman of the Supervisory Board and the Chairman of the Audit Committee at TomTom N.V., Wolters Kluwer N.V., and a member of the Supervisory Board and the Chairman of the Audit Committee at Royal Boskalis Westminster N.V., respectively, are all Dutch citizens now.
Jack served as Royal Vopak N.V.’s CFO and a member of the Executive Board from 2003 to 2018, and since 2010, he has served as Vice Chairman of the Executive Board. Prior to this, he was employed with PwC from 1986 to 2003, serving as a senior partner starting in 1990.
